End User License Agreement

This End User License Agreement ("EULA") governs your use of the Payvex software platform, including the merchant dashboard, hosted payment pages, and customer portal (collectively, the "Software"). The Software is operated by Cortex Automations ("Payvex," "we," "us") at payvex.io. This EULA supplements the Payvex Terms of Service; if the two conflict, the Terms of Service control for service and billing matters and this EULA controls for the software license.

1. License grant

Subject to this EULA and the Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes during the term of your account. This license covers your authorized users — employees and contractors acting on your behalf — and you are responsible for their compliance with this EULA.

2. Restrictions

You may not, and may not permit anyone else to:

  • Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
  • Resell, sublicense, rent, lease, or otherwise make the Software available to any third party, except as expressly permitted in a separate written agreement with us;
  • Copy the Software or any part of it, or use it to build a product or service that competes with Payvex;
  • Scrape, crawl, or access the Software by automated means other than interfaces we document for that purpose, or circumvent any access controls or usage limits.

3. Ownership

The Software, and all intellectual property rights in it, belong to Payvex and Cortex Automations. No rights are granted to you other than the limited license in Section 1. All rights not expressly granted are reserved.

If you send us suggestions, ideas, or other feedback about the Software, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without obligation or compensation to you. We never acquire ownership of your business data or branding under this section — that remains yours, as described in the Terms of Service.

4. Updates

We may update, modify, or patch the Software at any time, including adding or removing features. Because Payvex is delivered as a hosted service, updates are applied automatically, and some updates may be required for continued use of the Software. We will use reasonable efforts to avoid disrupting your use when we ship updates.

5. Term and termination

This EULA takes effect when you first access the Software and continues until your account is closed or terminated, whether by you or by us under the Terms of Service. Upon termination, the license in Section 1 ends immediately and you must stop using the Software. Sections 2, 3, 6, and 7 survive termination.

6. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted or error-free.

7. Limitation of liability

The limitations of liability in the Payvex Terms of Service apply to this EULA. To the fullest extent permitted by law, our total liability arising out of or relating to the Software will not exceed the amounts you paid to us in the twelve (12) months before the event giving rise to the claim, and neither party is liable for indirect, incidental, special, consequential, or punitive damages.
